Special Membership Meeting
January 14, 2021
On behalf of the current membership of Camp Fire Central Coast of California and according to the Bylaws and California Corporations Code Section 5510(e) the required number of members request the Board of Directors call a Special Meeting to hold the annual meeting and board elections. Due to all Camp Fire Central Coast of California directors resigning from the organization effective June 18th, 2020, more than one-fifth of the Camp Fire Central Coast membership have requested this special meeting, in accordance with Article 5, Section B of the Camp Fire Central Coast of California Bylaws and in accordance with California Corporations Code governing non-profit public benefit corporations. Therefore, we request and notice is hereby given of a special meeting to elect eleven (11) directors for the board to be held January 14, 2021 at 5:30 p.m. Due to the current Covid-19 restrictions and social distancing guidelines provided by the State of California, County of San Luis Obispo, and the CDC, this special meeting will be held as a zoom conference and that all election ballots be mailed to members at least 30 days prior to the meeting, or December 15, 2020.
Without a governing board of directors or staff, Camp Fire Central Coast of California is currently out of compliance with its Bylaws, and a special meeting must be held by the membership to elect new board members so that the organization can begin functioning.
Please note that this petition requesting the annual meeting has been mailed to all the current members as of February 2020, which is the last known record of membership, along with all online registered members from September 1, 2019 through December 2, 2020. The proposed meeting agenda is included in this letter. Only members will be allowed to join the meeting and role call will be held at the beginning of the meeting.
At this meeting, we the membership will conduct the following business:
-Board of Directors Election: The membership will elect Camp Fire Central Coast of California Board of Directors and have provided a slate of officers and ballot (included with this letter) which has been mailed to the current membership in good standing. Ballots will need to be returned via mail on or before January 14, 2020 to:
